PROPOSED ESTABLISHMENT OF AN UNRATED ISLAMIC MEDIUM TERM NOTES (“SUKUK MURABAHAH”) PROGRAMME WITH AN AGGREGATE NOMINAL VALUE OF UP TO RM5.0 BILLION, BASED ON THE ISLAMIC PRINCIPLE OF MURABAHAH (VIA A TAWARRUQ ARRANGEMENT) (“UNRATED SUKUK MURABAHAH PROGRAMME”) AND THE ISSUANCE OF SUKUK MURABAHAH UNDER THE UNRATED SUKUK MURABAHAH PROGRAMME

Maxis wishes to announce that the Securities Commission Malaysia (”SC”) has, vide its letter dated 17 June 2015, given its approval and authorisation under Section 212(4 ) and Section 212(5) of the Capital Markets and Services Act 2007 for the Unrated Sukuk Murabahah Programme and the issuance of Sukuk Murabahah subject to conditions set out therein.

The Unrated Sukuk Murabahah Programme shall have a tenure of up to 30 years from the date of the first issuance of Sukuk Murabahah under the Unrated Sukuk Murabahah Programme. The other salient terms and conditions of the Unrated Sukuk Murabahah Programme are set out in Appendix I.

Maxis intends to utilise the proceeds from the Sukuk Murabahah issuance under the Unrated Sukuk Murabahah Programme for the following Shariah-compliant purposes:

1. financing the capital expenditure and working capital requirements of Maxis and its subsidiaries (“Maxis Group”); and/or

2. other general funding requirements and general corporate purposes of the Maxis Group; and/or

3. refinancing of other debt/financing obligations of the Maxis Group (including any Sukuk Musharakah issued by Maxis from time to time under the existing unrated Sukuk Musharakah programme established by Maxis); and/or

4. refinancing any maturing Sukuk Murabahah under the Unrated Sukuk Murabahah Programme.

CIMB Investment Bank Berhad is the Sole Principal Adviser and the Sole Lead Arranger for the Unrated Sukuk Murabahah Programme and the Sole Lead Manager for the first issuance under the Unrated Sukuk Murabahah Programme. The Shariah Adviser for the Unrated Sukuk Murabahah Programme is CIMB Islamic Bank Berhad.
