We refer to the announcements dated 13 March 2015 and 26 March 2015 in relation to the LTIP.

The Company wishes to announce that the effective date for the implementation of the LTIP is 31 July 2015, after all relevant requirements pertaining to the implementation of the LTIP have been complied with.

Further thereto, Maxis had today, made the first offer of performance share grant (“PS Grant”) involving 8,376,000 ordinary shares of RM0.10 each in Maxis ("Maxis Shares") to the eligible employees of Maxis and its subsidiaries.

Details of the PS Grant are as follows:

(a)        Date of offer : 31 July 2015

(b)        Exercise price of options offered : Not applicable

(c)        Number of Maxis Shares granted: 8,376,000 Maxis Shares

(d)        Closing price of Maxis Shares on date of offer : RM6.67

(e)        Number of Maxis Shares granted to each Director : Nil

(f)         Vesting period of Maxis Shares granted : 33 months*

Note:

*    Subject to the terms and conditions of the by-laws governing the LTIP, the eligible employees shall be entitled to receive new Maxis Shares to be issued pursuant to the LTIP, upon meeting the vesting conditions as set out in the letter of offer for the LTIP.  The vesting conditions comprise, amongst others, the performance targets for the period commencing 1 January 2015 and ending on 31 December 2017, as stipulated by Maxis Remuneration Committee. The Maxis Shares under the offer shall vest on 30 April 2018, subject to meeting such performance targets.
