We refer to the announcements dated 1 December 2023, 20 June 2024, 28 June 2024 and 13 May 2025 in relation to the Proposed Investment. Unless otherwise defined, the definitions as set out in the announcements shall apply herein.

The Company wishes to announce that it had provided an additional shareholder advance of RM116,666,667 (“Additional Shareholder Advance”) to Digital Nasional Berhad (“DNB”) on 15 August 2025. The Additional Shareholder Advance was made by Maxis Broadband Sdn Bhd, a wholly-owned subsidiary of Maxis that holds an investment of 133,333 shares in DNB. The Additional Shareholder Advance carries the same rights accorded to an ordinary shareholder in DNB, i.e. each Ringgit of Additional Shareholder Advance is entitled to one vote. The Additional Shareholder Advance is to facilitate the 5G operation and assist the financial affairs of DNB.

The resultant share capital, Shareholder Advance, Additional Shareholder Advance and remaining MoF Inc. loan, according to the Agreed Proportion are set out below:

¹ Deemed to have been made out of the existing MoF Inc. loan of RM450.0m, hence no further cash contribution required – c.RM250m will carry voting rights

² Equal cash contribution by CelcomDigi, Maxis Broadband and YTL as shareholders, i.e., 33.3% respectively.

The Additional Shareholder Advance provided does not have any material effect on the earnings per share, net assets per share and gearing of the Company and its subsidiaries.
