Appointment For The Provisioning, Integration, Activation, Testing, Optimisation, And Billing Of 2G And 4G Domestic Roaming ("DR") Services And 4G Multi Operator Core Network ("MOCN") Services For TM Technology Services Sdn. Bhd. (FORMERLY KNOWN AS WEBE DIGITAL SDN. BHD.) ("SERVICES")

Maxis Berhad (“Maxis”) wishes to announce that Maxis Broadband Sdn. Bhd. (“MBSB”), a wholly-owned subsidiary of Maxis, has on 23 June 2023 accepted a letter of award issued by TM Technology Services Sdn. Bhd. (formerly known as Webe Digital Sdn. Bhd.) (“TM”), for the Provisioning, Integration, Activation, Testing, Optimisation and Billing of 2G and 4G Domestic Roaming (“DR”) Services and 4G Multi Operator Core Network (“MOCN”) Services to TM (“Award”). A Joint Press Release is attached.

The following are the salient terms of the Award:-

(i) The Award is for the Provisioning, Integration, Activation, Testing, Optimisation and Billing of 2G and 4G DR Services and 4G MOCN Services by MBSB to TM (“Services”);

(ii) The initial Award period of 3 years will commence upon achievement of agreed milestones with option for extension subject to terms and conditions to be mutually agreed by the parties;

(iii) The Award contains customary termination provisions including rights to terminate for breach of contract, a party’s insolvency or cessation of its telecommunications business;

(iv) MBSB will make available to TM the Services and TM will pay for Services rendered, based on usage, rates and other agreed parameters as stipulated in the Award; and

(v) Maxis will provide approximately 6,800 sites for 4G MOCN and DR services, and 10,000 sites for 2G DR services.

The Award will not have any effect on the issued share capital of Maxis and the shareholdings of its substantial shareholders nor will it have any material effect on the earnings per share, net assets per share or gearing of Maxis for the financial year ending 31 December 2023.

The arrangements under the Award do not require the approval of the shareholders of Maxis.

Insofar as the Board of Maxis is able to ascertain, none of the Directors or substantial shareholders of Maxis and/or persons connected to them have any interest, direct or indirect, in the Award.

The Board of Maxis, having considered all aspects of the Award, is of the opinion that the Award is in the best interests of the Maxis Group.
